Terms of Service

These terms are a binding agreement between Loyal League Ltd (company no. 17197430), registered office 20 Wenlock Road, London, N1 7GU, England ("Loyal League", "we", "us") and the label or business that opens an account ("you"). Loyal League Ltd is registered in England & Wales and these terms are governed by the laws of England and Wales, with the courts of England and Wales having exclusive jurisdiction.

1. The service

Loyal League is a fan-data CRM for independent record labels. It provides a fan database, capture and link-in-bio pages, artist rosters, superfan scoring, broadcast tools, and paid membership functionality via Stripe. We may add, change, or remove features over time; we will give reasonable notice of material changes that affect paying customers.

2. Your account

You must be at least 18 and authorised to bind your label or business. You are responsible for your account credentials and for the activity of any team member you invite. Keep your contact email up to date — we use it for service, billing, and security notices.

3. Your content and your fans

You own your fan data. All fan records you import, capture, or generate through Loyal League remain your property. You can export the full database at any time, and we do not sell fan data, share it between labels, or use it to train models.

You confirm that you have the rights and lawful basis to upload the content you put into Loyal League — including artist names, images, bios, audio, links, and any fan contact details — and that doing so does not infringe anyone else's rights or breach applicable law (including UK GDPR, PECR, and equivalent regulations in your jurisdiction). You grant us the limited licence needed to host, display, and transmit that content solely so we can operate the service for you.

3a. Content & rights (music, artwork, audio)

You keep ownership of the music, artwork, audio, and other creative content you upload ("Content"). You grant us only the limited, worldwide, non-exclusive licence needed to host, stream 30-second previews, deliver purchased files to fans, and display the Content on your public pages while your account is active.

Your warranties. By uploading or publishing Content on Loyal League you confirm that: (a) you own it, or have all the necessary licences, permissions, consents, and rights (including from featured artists, producers, songwriters, publishers, sample owners, session players, and any collecting society); (b) selling or giving it away through Loyal League does not breach any exclusive or platform-exclusive deal you have with a distributor, label, aggregator, or streaming service; (c) the Content does not infringe copyright, trademark, publicity, privacy, or any other right, and is not unlawful, deceptive, hateful, or sexually explicit involving minors; and (d) you are responsible for any AI-assisted material you upload and for declaring it accurately when we ask.

Indemnity. You agree to indemnify and hold Loyal League harmless from any third-party claim, loss, or cost (including reasonable legal fees) arising from Content you uploaded, sold, or distributed via the service, or from your breach of these warranties.

Takedowns and removal. We will act on credible notices of infringement or unlawful content and may remove or disable access to Content, revoke download tokens, refund affected fans, and suspend or terminate accounts. Repeat infringers. We record validated infringement claims against a label. Two validated claims suspend the ability to publish new drops pending review; further validated claims may result in permanent termination. We will notify you when a strike is recorded and give you an opportunity to respond.

Taxes. You are responsible for determining and paying any taxes (including VAT/GST/sales tax) on revenue you earn through Loyal League, including memberships and drop sales processed via your connected Stripe account. Loyal League is not a merchant of record for your fan-facing sales.

4. Data processing (fan data)

For personal data about your fans, you are the data controllerand Loyal League Ltd acts as your data processor. We process fan personal data only on your documented instructions (using the service), implement appropriate technical and organisational measures, keep it confidential, and assist you with data subject requests. On termination we will delete or return fan data at your choice, subject to any legal retention obligation. Our current sub-processors are Supabase (database, storage and hosting), Resend (email delivery) and Stripe (payments and memberships). 5. Subscriptions and billing

Paid plans are billed monthly in advance through Stripe in the currency shown at checkout (currently GBP). New labels get a 14-day free trial; if you do not subscribe before the trial ends, your workspace moves to a read-only state until you upgrade. Fees are non-refundable except where required by law. We may change plan pricing with at least 30 days' notice; founding-customer pricing, where offered, is honoured for the life of the subscription while it remains active and paid.

Fan memberships are collected by Stripe Connect directly into your connected Stripe account. Stripe's own fees apply to those transactions. Loyal League currently takes a 0% platform fee on membership payments; we will give notice before that changes.

6. Acceptable use

You agree not to use Loyal League to send unsolicited messages, upload unlawful or infringing content, attempt to breach the security of the service, or resell the service to third parties without our written agreement. You must honour opt-outs and consent choices recorded in the platform.

7. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated where practical. Support is provided by email during UK business hours.

8. Warranties and liability

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all implied warranties. Our total aggregate liability to you under or in connection with these terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, or loss or corruption of data (beyond taking reasonable measures to protect it). Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited.

9. Termination and data export

You can cancel your subscription at any time from Settings → Billing; the plan stays active until the end of the paid period. Before or after cancellation you can export your full fan database, artist data, and page content as CSV/JSON. On request, or 60 days after cancellation, we will delete your workspace and its fan data from active systems (routine backups are purged on a rolling schedule). We may suspend or terminate accounts that breach these terms, fail to pay, or put the service or other customers at risk.

10. Changes to these terms

We may update these terms from time to time. If a change is material we will notify you by email or in-app before it takes effect. Continued use of the service after the effective date is acceptance of the updated terms.
